Lot 1- Interim Finance Support

Ørsted utilises Interim Financial Support services when additional resource is needed to support a range of standardised and global financial accounting and reporting processes.

These services are predominately executed from Ørsted Financial Hubs in Warsaw (Poland) and Kuala Lumpur (Malaysia). Furthermore, Ørsted also utilises Interim Financial Support services when additional resource is needed in ad hoc transactional or project work

This lot comprises:

- Preparing financial journals, system-to-system reconciliations, internal controls and other surrounding processes as part of a monthly financial period end close

- Managing an annual audit cycle, with a focus on preparation of local financial statements, and ancillary processes involved in a statutory audit (f.x. provision of correct supporting financial documentation, auditor engagement, and so forth)

- Performing other regular internal & external reporting, such as but not limited to; Joint Venture Reporting, National Statistics & National Bank and Value Added Tax returns.

- Analysing and reconciling a range of Balance Sheet accounts

- Delivering other ad hoc financial reporting services

Ørsted has an ongoing demand for advisory services within various tax disciplines.

The demand is often based on country and industry specific knowledge and insights.

This lot comprises.

Corporate tax related advisory, incl.

- General advice (strategic and operational) on local Danish and foreign corporate tax law, and cross-border implications (e.g., double tax treaties, permanent establishments, etc.)

- Advice on developments in case law

- General advisory on international joint taxation, local joint taxations, compliance, and optimization

- Advisory on financing structures and financing vehicles including communication with tax authorities.

- M&A and company structure related tax advisory

- Capital markets and transaction related tax advisory.

Tax compliance services, incl.:

- Tax return review (potentially with declaration)

- Audit of tax in the accounts during periodical audit (annually/bi-annually) (audit service carried out by tax experts)

- Assistance during tax audits, participation in binding rulings, tax tribunals.

- Audit of VAT during periodical audits (audit service carried out by VAT experts)

Indirect tax related advisory, incl.

- Advisory on VAT, energy taxes, and other indirect taxes

- Advisory on environmental taxes, import duties, levies. (e.g., CO2)

Lot 5 - Risk Management

Ørsted develop and operate on- and off-shore windfarms, solar parks, and various P2X (Power to X) production facilities, based on contracts awarded to Ørsted via ten-ders.

Development of these energy asset parks last several years from bid is submitted in the tender process to the assets are in operation.

This means that Ørsted is exposed to various financial risks, e.g., inflation, interest rates, currency exposures, production uncertainty and future energy prices amongst others.

Ørsted has a dedicated Risk Management function which ensures financial risks are mitigated and managed within the Board’s risk appetite and reported on to decision makers. .

Ørsted also benefits from external advisory on complex risk matters, risk governance and as support for Risk Management function daily activities,

This lot comprises.

- General strategic and operational advice for financial risk management within the energy sector including designing and implementing frameworks, processes, models, controls, and reporting covering the following risk areas:

- Counterparty credit risk management

- Merchant risk management

- Financial market risk management (inflation, interest rate and currency risks)

- Procurement market risk management

- Model development and model risk management

- Strategic and operational advice on enterprise risk management within the energy sector including stress and scenario testing, risk appetite setting and implementing 3 lines of defence.

Lot 6 - Outsourced Accounting, Tax and Payroll (New Markets)

When Ørsted enters markets for renewable energy in new countries, Ørsted establishes legal entities and may hire employees to start business operations in the country. How-ever, Ørsted does not establish administrative functions such as payroll, tax and ac-counting functions at the beginning. Ørsted benefits from outsourced administrative services at the beginning and until the business has reached a certain volume, after which the services are in-housed by Ørsted.

Ørsted cannot disclose which countries may be in scope for outsourced accounting, tax and payroll. The demand is expected for countries in the continents of Europe, Asia, South & Central America, Canada, and Australia, without commitment from Ør-sted.

This lot comprises:

Advisory and coordination of activities to establish legal entities in new countries:

-Analysis of new legal entities obligations in terms of tax, accounting, and payroll services

-Identification of differences in local GAAP (generally accepted accounting principles) and Ørsted accounting principles.

Outsourced Payroll Services in new markets

-Employer and employee registration

-Monthly calculation of salaries and social security obligations

-Preparation of salaries and social security payments in Ørsted electronic banking.

-Monthly reporting to Ørsted

Outsourced Accounting and Tax Services in new markets

-Setup Ørsted in the service provider’s relevant ERP system for accounting services

-Receive and process invoices and other accounting documents on behalf of Ørsted.

-Monthly reporting to Ørsted

-Prepare the payments in Ørsted electronic banking.

-Prepare and file annual financial statement on behalf of Ørsted.

-Reporting to local authorities when relevant on behalf of Ørsted (including tax related reporting).
