6. Contract description:
Context
Burkina Faso, a landlocked country without exploitable sources of fossil fuels and with little financial resources to invest in energy infrastructure, is heavily dependent on dendroenergy and entirely dependent on the import of fossil fuels, has an electrical network largely dominated by thermal energy (diesel, fuel) and modern energy services concentrated in the major urban areas, mainly Ouagadougou, Bobo-Dioulasso and Ouahigouya.
Renewable energy, in general, still plays a very minor role and solar energy, in particular, remains under-utilised, despite plenty of sunshine. The few projects carried out or under construction are for the production of biofuels and especially decentralised rural electricity via solar energy.
As a result, Sonabel (Société nationale burkinabé d'électricité — National Electricity Company of Burkina Faso) has decided to install a 33-MWc photovoltaic power plant near Ouagadougou in an area of approximately 60 ha in Zagtouli.
The installation of this plant will also require certain network elements to be upgraded.
These works will be carried out under 2 turnkey contracts which will be the subject of 2 separate invitations to tender:
* the first in relation to the solar power plant, i.e. the design and construction, as well as the operation thereof for 2 years and providing training to Sonabel in order to run the power plant;
* the second in relation to strengthening the network (for information only):
— replacing the transformer (20 MVA 90/33/34,5 kV) in Zagtouli with a 90/33-kV transformer with more power (40 MVA),
— adding an autotransformer (33/34,5 kV),
— purchasing and installing an SVC (Static Var Compensator),
— commissioning the second 90-kV three-phase transmission wire between Zagtouli-Ouaga 2,
— installing a transformer (90/15-kV) at the Ouaga 1 plant.
This contract notice covers the contract relating to the solar power plant.
Brief
The aim of the operator is to design and construct the photovoltaic power plant. In addition, he must operate and maintain the power plant for 2 years, during which he will be responsible for providing training, and transferring know-how, to Sonabel staff.
The operators' activities will be the following (in brief):
* design of the photovoltaic plant:
— defining the technical solution in accordance with the invitation to tender's technical requirements,
— carrying out detailed design studies,
— submitting plans and schedules to Sonabel or its representative for approval,
— defining quantitative aspects;
* construction of the photovoltaic plant:
— earthworks,
— procurement and supply of equipment,
— installing the entire 33-MWc solar power plant,
— installing fencing and alarm systems,
— constructing technical rooms;
* operation and maintenance:
— operation for 2 years,
— maintenance for 2 years,
— training Sonabel teams on how to run and maintain the power plant,
— transferring know-how to the Sonabel teams.
All services will be overseen by a consulting engineer and the Sonabel project team.
The estimated duration of the contract, from the date it is signed to the provisional acceptance of the power plant, will be 18 months, as well as 2 years of operation prior to final acceptance.
Specific technological and constructive aspects:
a. technical obligations:
the following technological elements will be required, without any possibility of derogation:
— crystalline silicon modules,
— fixed systems (no mobile systems);
b. supplier limitation:
in order to open the competition, the supply of photovoltaic modules by 3 different manufacturers is permitted (optional), within a minimum limit of 10 MWc per module type. The candidate may declare up to 3 manufacturers during this contract notice. Where manufacturers do not form a grouping (consortium) with the lead candidate, the latter may, during the the invitation to tender, submit the number of manufacturers he so chooses, but only with those who have been declared in this contract notice.
In order to open the competition, the pre-qualification of 2 different inverter manufacturers is only permitted (optional) if none of them in is a grouping (consortium) with the lead candidate. During the invitation to tender, the candidate must make a choice, and only 1 of the 2 manufacturers must be selected.

Conditions of participation
8. Eligibility and rules of origin:
Participation in the contract is open on equal terms to all natural persons and legal entities (irrespective of whether they are taking part as individuals or as part of a grouping (consortium) of tenderers) established in an ACP country, an EU Member State or a country or territory authorised by the ACP-EC Partnership Agreement under which the contract is financed. All works, supplies and services provided under this contract must originate in these countries.
Particular attention will be paid to compliance with the clause of origin for the photovoltaic modules and inverters.
Candidates are reminded that the clause of origin is 1 of the conditions which apply to contracts financed by the European Union. All goods purchased under the contract must come exclusively from authorised countries or territories specified in Annex IV to the ACP-EC Partnership Agreement signed in Cotonou on 23.6.2000, last revised in Ouagadougou on 22.6.2010.
The product's country of origin in defined by Article 24 of the European Union's Customs Code as country where they underwent their last, substantial, economically justified processing or working in an undertaking equipped for that purpose and resulting in the manufacture of a new product or representing an important stage of manufacture.
For the photovoltaic modules and inverters, the clause of origin is deemed to have been adhered to when the product has been substantially manufactured in a country or territory such as those previously stated, in accordance with the following conditions:
— for the photovoltaic modules, 'substantial processing' means, as a minimum, that the cells are made from wafers, in accordance with the customs legislation in force in the European Union,
— for the inverters, 'substantial transformation' means that the added value acquired represents at least 45 % of the ex-works price or a change in tariff heading (4 figures) in the Harmonised System nomenclature.
During contract performance, systematic visits to the factories manufacturing the cells, modules and inverters will be carried out by the consulting engineer and Sonabel to verify compliance with the clause of origin.
In the event of non-compliance during contract performance, a penalty equivalent to 10 % of the contract's value will be automatically applied, with no possibility for the successful tenderer to appeal. In addition, depending on the severity of the proven misconduct, the contracting authority reserves the right to:
— refuse payment, recover the amounts already paid or terminate all contracts entered into with the contractor, in proportion to the severity of said errors, irregularities or instances of fraud,
— file a complaint for deception before the competent courts.
Finally, the company responsible for the fault may be forbidden to tender for any contract financed by the European Union for 5 years.
Should a candidate submit an application with several manufacturers, including at least 1 who has not complied the clause of origin, this will not be grounds for his application to be excluded. However, if the candidate is permitted to respond to the restricted invitation to tender, he will be informed that the manufacturer in question is not permitted and must therefore respond only with the remaining manufacturer(s), without any possibility of providing an alternative.
If a candidate submits an application with a single manufacturer who does not adhere to the clause of origin, the application will be rejected.
9. Applications:
Any eligible natural person or legal entity (as defined in point 8 above) or grouping of said parties (consortium) may apply.
A consortium may be a permanent, legally-established grouping or a grouping constituted informally for a specific tender procedure. All members of a consortium (i.e. the leader and all other members) are jointly and severally liable to the contracting authority.
Should an ineligible natural person or legal entity (as defined in point 8) take part, this person with be automatically excluded (if this person is part of a consortium, then the consortium as a whole shall be excluded).
10. Number of applications:
Natural persons and legal entities can only submit 1 application, irrespective of the form their participation may take (individually or as lead company or partner in a consortium submitting an application). Should a natural person or legal entity submit more than 1 application, all the applications involving said party will be rejected.
11. Prohibition on alliances between shortlisted candidates:
All renders received by candidates whose composition is different to that stated on the application form will be excluded from this restricted procedure, unless prior approval from the contracting authority has been obtained — see Section 2.4.3 of the Practical Guide to contract procedures for EU external actions. Candidates on the shortlist may not form alliances or subcontract to each other for the contract in question.
12. Grounds for exclusion:
Tenderers must sign and submit the declaration, included with the tender form for a works contract, confirming that they are not in any of the situations listed in point 2.3.3 of the Practical Guide to contract procedures for EU external actions.
Independence of successful tenderers from the works and services contract:
candidates may not be owned by, or be in no way financially linked, to the company responsible for the consulting engineer assignment.
If the contract award procedure for the consulting engineer expires before the procedure for the solar power plant, the award of the consulting engineer contract to a tenderer will be grounds for said tenderer to be excluded from the selection procedure for the solar power plant. Conversely, the award of the works contract for the solar power plant to a tenderer will be grounds for his exclusion from the procedure to select the consulting engineer.
The attention of candidates belonging to a group is therefore drawn to the existence of 2 turnkey invitations to tender (1 for the construction of the photovoltaic power plant and the other for strengthening the network) and the impossibility for a group to be awarded, via any of its subsidiaries, the consulting engineer contract and at least 1 of these 2 contracts. Nevertheless, this shall not prevent a company being awarded both contracts.
Requirement to declare the main suppliers:
the manufacturer(s) of the photovoltaic modules and inverters are either members of a consortium or suppliers declared in the pre-qualification notice. Any change of manufacturer will not be permitted during the restricted invitation to tender with respect to pre-qualification. Failure to abide by this rule will result in the tenderer being immediately excluded.
In the event of a manufacturer's bankruptcy and the ceasing of his activities, either between the pre-qualification stage and the date of response to the invitation to tender or following contract award, a change of manufacturer may be permitted. The replacement manufacturer must be at least of the same calibre of the defaulting manufacturer. This change must be approved by Sonabel or its representative.
13. Subcontracting:
Up to 30 % of the contract value may be subcontracted.
Subcontracting is only valid if it is the subject of a written agreement in which the contractor entrusts a third party to carry out a part of his contract. Contracts for hiring equipment, supply contracts and work contracts are not subcontracts.
Unlike subcontractors, who carry out a part of the contract instead of the contractor, suppliers are third parties who deliver products but are not involved in on-site activities (e.g. product installation).
14. Names of shortlisted candidates:
Depending on the applications received, the number of candidates invited to submit detailed tenders for this contract will be at least 4 and no more than 6.
If the number of eligible candidates meeting the selection criteria is less than the minimum number of 4, the contracting authority may invite the candidates in question to submit a tender.
If the number of eligible candidates meeting the selection criteria is more than the maximum number of 6, the contracting authority will rank them according to the criteria explained at the end of point 18.

Selection and award criteria
18. Selection criteria:
To be considered for contract award, tenderers must provide proof that they meet the selection criteria. This proof must be provided by tenderers in the form of the information and documents described in the submission forms and in any other form the tenderers wish to use.
Unless otherwise specified, if the tender is submitted by a consortium, these selection criteria will apply to the consortium as a whole.
The selection criteria applicable to each tenderer are as follows.
I. Candidate's economic and financial capacity:
(a) the candidate's average annual turnover over the past 3 years must have been at least 30 000 000 EUR:
* in the case of a consortium/grouping of companies:
— at least 1 member must have an average annual turnover in the past 3 years of at least 20 000 000 EUR,
— average annual turnover figures for all members for the past 3 years must be at least 30 000 000 EUR;
(b) the tenderer or the consortium must have access to sufficient credit and other financial facilities to cover the cash flow necessary for the duration of the contract. In any event, the amount of available credit must be at least equivalent to 10 000 000 EUR;
in the case of a consortium/grouping of companies, at least 1 member must have available credit of at least 10 000 000 EUR.
II. Candidate's technical and professional capacity:
II.1 Technical capacity:
(a) the candidate must have successfully completed at least 3 projects for photovoltaic solar power plants with a total cumulated capacity of at least 10 MWc, including at least 1 with a capacity of at least 5 MWc. This work must have completed during the past 5 years and be of the same nature and complexity comparable to the works covered by this contract notice.
(i) This criteria is intended to assess the actual capacity to carry out the work on the site of the photovoltaic power plant.
(ii) In order to assess the relevance of the submitted reference, the candidate must indicate:
[1] the total value of the project (total value of the contract: line 5 of form 3.1);
[2] the total value of the candidate's contract (line 5 of form 3.1);
[3] the candidate must provide copies of final (or provisional) acceptance certificates signed by the awarding authorities/supervisors for the projects concerned.
(iii) The net supply of photovoltaic modules by a supplier without the construction of the power plant will not count as a reference within the meaning of point (a).
(iv) Roof-related projects will not be considered.
(v) The sum of several projects below the minimum threshold may not be submitted as a sole reference to justify the criterion regarding the construction of a 5-MW power plant, irrespective of the standardisation of these projects.
(vi) If several members of the same consortium participated in the same project, the reference will only be counted once.
In line 3 of form 3.1, the candidate must specify the technical elements of the works carried out, particularly for each photovoltaic power plant constructed:
— total capacity of each one,
— type (trade name), technology and unit capacity of the modules used,
— type of inverters used,
— types of structures and anchorage.
(b) the candidate must have been responsible, in the past 5 years, for the operation and maintenance of at least 2 solar power plants, each 1 with a capacity of more than 1 MWc (these references will be listed in table 3 of the application form).
(c) If the proposal only contains a single manufacturer of photovoltaic modules, said manufacturer must have the capacity to produce photovoltaic modules with capacities of at least 50 MWc per year. If the tenderer declares several manufacturers, each manufacturer must have the capacity to produce photovoltaic modules with capacities of at least 20 MWc per year and all manufacturers must have the capacity to produce photovoltaic modules with capacities of at least 50 MWc per year. Candidates are reminded that only crystalline silicon photovoltaic modules will be accepted for this contract. The photovoltaic modules must be certified according to a standard which ensures their quality (standard IEC 61215 for crystalline silicon modules). See point 27 for the statements to be submitted.
(d) Candidates must have successfully completed at least 1 project in the electricity sector (in general) in Africa during the past 5 years (these references will be given in table 3 of the application form).
'During the past years' means that the project to which the tenderer refers might have begun/been carried out/been completed at any moment during the period given, but does not necessarily need to have begun and been completed during this period, or have been carried out during the whole of said period.
The 5-year period refers to the time between the official date of submission of applications and 5 years prior to this date.
II.2 Professional capacity:
(a) at least 10 of the candidate's permanent employees must be currently (in 2014) working in fields related to this contract notice (civil engineering, electrical connection and solar energy), with at least 5 working in the field of solar energy.
When filling in form 4, candidates must specify the permanent staff for each field of activity required above.
Tenders from companies in partnership forming a joint venture/consortium must also meet the following conditions:
— the tender must include all the information required in the application form for each member of the joint venture/consortium, as well as the basic data for carrying out the works by the tenderer,
— the tender must be signed in a way that legally binds all employees to the joint venture/consortium. 1 of the members must be appointed as leader and this appointment must be confirmed by submitting the proxies signed by the authorised persons representing each of the members,
— all members of the joint venture/consortium are required to remain in the joint venture/consortium for the entire period of contract performance. See the declaration in the tender form.
If more than 6 eligible candidates meet the above selection criteria, then applications will be selected on the basis of the following criteria:
I. the total capacity of the completed photovoltaic solar power plants must be at least 5 MWc;
II. the total capacity of the completed electricity production projects in Africa must be at least 5 MW.
The weighting of both criteria will be according to the formula: 0.8* (criterion I) + 0.2* (criterion II).

Please note that the award of the contract is subject to the signature of loan agreements between the Government of Burkina Faso and the AFD and the EIB, respectively.
This condition does not affect the elements of the invitation to tender procedure (this would be the case, for example, if the budget allowance initially planned is different or if the nature or condition of, or schedule for implementation are changed).
If this condition is not fulfilled, the contracting authority may withdraw from the contract or cancel the procurement procedure, without candidates or tenderers being entitled to claim any compensation.

Contexte
Pays enclavé, sans sources d'énergies fossiles exploitables et ne disposant que de peu de ressources financières pour investir dans des infrastructures énergétiques, le Burkina Faso se caractérise par une lourde dépendance au bois-énergie, une dépendance totale aux importations pour les énergies fossiles, un bouquet électrique largement dominé par l'énergie thermique (diesel, fuel), une offre de services énergétiques modernes concentrée dans les grands centres urbains, principalement Ouagadougou, Bobo-Dioulasso et Ouahigouya.
Les énergies renouvelables ont une place encore très marginale en général, et l'énergie solaire en particulier reste sous-exploitée en dépit d'un ensoleillement très important. Les quelques projets réalisés ou en voie de réalisation dans le domaine des énergies renouvelables relèvent de la production de biocarburants et surtout de l'électrification rurale décentralisée solaire.
Dans ce contexte, la Sonabel (Société nationale d'électricité du Burkina) a décidé l'installation d'une centrale photovoltaïque de 33 MWc à proximité de Ouagadougou sur un terrain d'environ 60 ha situé à Zagtouli.
L'installation de cette centrale nécessitera en outre la mise à niveau de certains éléments du réseau.
Ces chantiers seront réalisés sous la forme de 2 contrats clé en main qui feront l'objet de 2 consultations séparées:
* le premier relatif à la centrale solaire, à savoir la conception-construction de la centrale ainsi que son exploitation durant 2 ans et la formation de la Sonabel à l'exploitation de la centrale;
* le deuxième relatif au renforcement du réseau, à titre indicatif:
— le remplacement du transformateur 20 MVA 90/33/34,5 kV de Zagtouli par un transformateur 90/33kV de 40 MVA,
— l'ajout d'un transformateur 33/34,5 kV,
— l'acquisition et l'installation d'un SVC,
— la mise en service du 2eterne 90 kV Zagtouli-Ouaga 2,
— l'installation d'un transformateur 90/15 kV à la centrale Ouaga 1.
Le présent avis de marché concerne le contrat relatif à la centrale solaire.
Mission à réaliser
L'opérateur a pour mission de concevoir et construire la centrale photovoltaïque. En outre, il devra exploiter et maintenir la centrale durant 2 années durant lesquelles il sera en charge de la formation et du transfert des savoir-faire aux personnels de la Sonabel.
Les activités de l'opérateur seront de manière sommaire les suivantes:
* conception de la centrale photovoltaïque:
— définition de la solution technique en respect des conditions des prescriptions techniques de l'appel d'offres,
— études de conception détaillées,
— présentation des plans et schémas à la Sonabel ou à son représentant pour approbation,

* construction de la centrale photovoltaïque:
— travaux de terrassements,
— approvisionnements et fourniture des équipements,
— installation de l'ensemble de la centrale solaire 33 MWc,
— mise en place de clôtures et systèmes d'alarmes,
— construction des locaux techniques;
* exploitation et maintenance:
— exploitation durant 2 ans,
— maintenance durant 2 ans,
— formation des équipes de la Sonabel à l'exploitation et la maintenance,
— transmission du savoir-faire aux équipes de la Sonabel.
L'ensemble des prestations sera surveillé par un ingénieur conseil et l'équipe projet de la Sonabel.
La durée prévisionnelle de réalisation du marché entre sa date de signature et la réception provisoire de la centrale sera de 18 mois auxquels s'ajouteront 2 années d'exploitation avant la réception définitive.
Spécificités technologiques et constructives:
a. obligations techniques:
les éléments technologiques suivants seront imposés sans aucune possibilité d'y déroger:
— modules au silicium cristallin,
— systèmes fixes (pas de systèmes mobiles);
b. limitation des fournisseurs:
afin d'ouvrir la compétition, il est autorisé (non obligatoire) la fourniture de modules photovoltaïques de 3 fabricants différents, dans une limite minimale de 10 MWc par type de module. Le candidat peut déclarer jusqu'à 3 fabricants lors du présent avis de marché. Dans le cas où les fabricants ne constituent pas un groupement (consortium) avec le candidat chef de file, celui-ci pourra répondre avec le nombre de fabricants de son choix lors de l'appel d'offres mais uniquement avec ceux ayant été déclarés lors du présent avis de marché.
Afin d'ouvrir la compétition, il est autorisé (non obligatoire) la pré-qualification de 2 fabricants d'onduleurs différents seulement dans le cas où aucun des 2 ne constitue un groupement (consortium) avec le candidat chef de file. Lors de l'appel d'offres, un choix devra être effectué par le candidat, et seul 1 des 2 fabricants devra être retenu.

Conditions de participation
8. Éligibilité et règles d'origine:
La participation est ouverte à égalité de conditions à toutes les personnes physiques et morales qu'elles participent à titre individuel ou dans le cadre d'un groupement (consortium) de soumissionnaires établies dans l'un des États membres de l'Union européenne, dans l'un des États ACP ou dans un pays ou un territoire autorisé par l'accord de partenariat ACP-CE au titre duquel le marché est financé. Tous les travaux, fournitures et services fournis dans le cadre du présent marché doivent être originaires de ces pays.
Une attention particulière sera portée au respect de la clause d'origine des modules photovoltaïques et des onduleurs.
Il est rappelé que la clause d'origine est une des conditions qui s'appliquent aux marchés financés par l'Union européenne. Tous les biens acquis dans le cadre du marché doivent provenir exclusivement des pays ou territoires autorisés tel qu'indiqué à l'annexe IV de l'accord de partenariat ACP-UE signé à Cotonou le 23.6.2000, révisé en dernier lieu à Ouagadougou le 22.6.2010.
Le pays d'origine du produit est défini par l'article 24 du code douanier de l'Union européenne comme le pays où a eu lieu la dernière transformation ou ouvraison substantielle, économiquement justifiée, effectuée dans une entreprise équipée à cet effet et ayant abouti à la fabrication d'un produit nouveau ou représentant un stade de fabrication important.
Pour les modules photovoltaïques et les onduleurs, la clause d'origine sera réputée remplie dans la mesure où la fabrication du produit sera réalisée de manière substantielle dans un pays ou territoire tel qu'indiqué précédemment, selon les conditions ci-après:
— pour les modules photovoltaïques, au sens de fabrication substantielle, on entend a minima la fabrication des cellules à partir de wafers, en conformité avec la réglementation douanière en vigueur dans l'Union européenne,
— pour les onduleurs, par transformation substantielle on entend que la valeur ajoutée acquise représente 45 % au minimum du prix départ usine ou un changement de position tarifaire (4 chiffres) dans la nomenclature du système harmonisé (SH).
Durant la réalisation du marché, des visites systématiques des usines de cellules, de modules et d'onduleurs seront réalisées par l'ingénieur conseil et la Sonabel pour vérifier le respect de la clause d'origine.
En cas de non-respect de la clause d'origine constaté lors de l'exécution du contrat, une pénalité de 10 % du montant du contrat sera appliquée automatiquement sans possibilité de contestation de la part de l'attributaire. En outre, selon la gravité de la faute constatée, le pouvoir adjudicateur se réserve le droit de:
— refuser d'effectuer le paiement, recouvrer les montants déjà versés ou résilier tous les contrats conclus avec le contractant, proportionnellement à la gravité desdites erreurs, irrégularités ou fraudes,
— porter plainte pour tromperie devant les tribunaux compétents.
Enfin, l'entreprise responsable de la faute pourra être interdite de soumissionner durant 5 ans à tous marchés financés par l'Union européenne.
Dans le cas où un candidat se présenterait avec plusieurs fabricants dont l'un au moins ne respecte pas la clause d'origine, ceci ne sera pas un critère d'exclusion de sa candidature. Cependant, si ce candidat est autorisé à répondre à l'appel d'offres restreint, il lui sera précisé que le fabricant concerné n'est pas autorisé et le candidat devra donc répondre exclusivement avec le(s) fabricant(s) restant(s) sans possibilité de substitution.
Dans le cas où un candidat se présenterait avec un seul fabricant mais que celui-ci ne respecte pas la clause d'origine, la candidature sera éliminée.
9. Candidatures:
Toute personne physique ou morale éligible (au sens du point 8 ci-dessus) ou groupement de ces personnes (consortium) peut soumettre sa candidature.
Un consortium peut être, soit un groupement permanent doté d'un statut juridique, soit un groupement informel créé aux fins d'un appel d'offres spécifique. Tous les membres d'un consortium (c'est-à-dire le chef de file et tous les autres partenaires) sont conjointement et solidairement responsables devant le pouvoir adjudicateur.
La participation d'une personne physique ou morale inéligible (au sens du point 8) entraînera automatiquement l'exclusion de cette personne (si celle-ci fait partie d'un consortium, ce dernier sera exclu dans son ensemble).
10. Nombre de candidatures:
Une personne physique ou morale ne peut soumettre qu'une seule candidature, quelle que soit la forme de sa participation (à titre individuel ou en tant que chef de file ou partenaire d'un consortium présentant une candidature). Si une personne physique ou morale soumet plusieurs candidatures, toutes les candidatures auxquelles cette personne participe seront éliminées.
11. Interdiction d'association entre candidats retenus sur la liste restreinte:
Toute offre reçue de la part de candidats dont la composition diffère de celle qui est indiquée dans le formulaire de candidature sera éliminée de la présente procédure restreinte, sauf autorisation préalable du pouvoir adjudicateur — voir le point 2.4.3 du Guide pratique des procédures contractuelles dans le cadre des actions extérieures de l'UE. Les candidats retenus sur la liste restreinte ne sont pas autorisés à s'associer ou à établir entre eux des relations de sous-traitance pour le marché en question.
12. Situations d'exclusion:
Les soumissionnaires doivent fournir une déclaration signée, incluse dans le formulaire de soumission pour un marché de travaux, selon laquelle ils ne se trouvent dans aucune des situations énumérées au point 2.3.3 du Guide pratique des procédures contractuelles dans le cadre des actions extérieures de l'UE.
Indépendance des attributaires du marché de travaux et de services:
les candidats ne pourront pas appartenir ou être lié de manière capitalistique à quelque pourcentage que ce soit à la société en charge de la mission d'ingénieur conseil.
Dans l'hypothèse où la procédure de passation de marché de l'ingénieur conseil atteint son terme avant celle relative à la centrale solaire, l'attribution du marché d'ingénieur conseil à un soumissionnaire sera un critère d'exclusion de ce soumissionnaire à la procédure de sélection relative à la centrale solaire. Dans l'hypothèse inverse, l'attribution du marché de travaux de la centrale solaire à un soumissionnaire sera un critère d'exclusion à la procédure de sélection de l'ingénieur conseil.
L'attention des candidats appartenant à un groupe est donc attirée sur l'existence de 2 appels d'offres clés en mains respectivement pour la réalisation de la centrale photovoltaïque et pour le renforcement du réseau et l'impossibilité pour un groupe d'être attributaire, par l'une quelconque de ses filiales, du marché de l'ingénieur conseil et de 1 au moins de ces 2 marchés. En revanche, rien ne s'oppose à ce qu'une société soit attributaire de ces 2 marchés.
Obligation de déclaration des fournisseurs principaux:
le ou les fabricants de modules photovoltaïques et des onduleurs sont soit membres du consortium, soit fournisseurs déclarés dans l'avis de préqualification. Aucun changement de fabricant ne sera autorisé lors de l'appel d'offres restreint par rapport à la préqualification et tout manquement à cette règle entraînera l'élimination immédiate du soumissionnaire.
En cas de faillite sans prolongation d'activité d'un fabricant soit entre la préqualification et la date de réponse à l'appel d'offres restreint, soit après attribution du marché, le changement de fabricant pourra être autorisé. Le fabricant remplaçant devra au moins être de même niveau que le fabricant défaillant. Le changement devra être approuvé par la Sonabel ou son représentant.
13. Sous-traitance:
La sous-traitance est autorisée à concurrence maximale de 30 % de la valeur du marché.
La sous-traitance n'est valable que si elle fait l'objet d'une convention écrite par laquelle le contractant confie à un tiers l'exécution d'une partie de son marché. Les contrats de location de matériel, les contrats de fourniture et les contrats de travail ne constituent pas des contrats de sous-traitance.
Contrairement aux sous-contractants, qui exécutent donc une partie du marché en lieu et place du contractant, les fournisseurs sont donc des tiers qui livrent des produits mais qui n'interviennent pas sur le chantier (par exemple pour les installer).
14. Nombre de candidats retenus sur la liste restreinte:
En fonction des candidatures reçues, le nombre de candidats invités à soumettre des offres détaillées dans le cadre du présent marché sera d'au moins 4 et de maximum 6.
Si le nombre de candidats éligibles satisfaisant aux critères de sélection est inférieur au nombre minimal de 4, le pouvoir adjudicateur peut inviter les candidats en question à soumettre une offre.
Si le nombre de candidats éligibles satisfaisant aux critères de sélection est supérieur au nombre maximal de 6, le pouvoir adjudicateur les classera selon le critère expliqué à la fin du point 18.
15. Date prévue pour l'envoi de l'invitation à soumissionner:

17. Période de mise en œuvre des tâches:

Critères de sélection et d'attribution
18. Critères de sélection:
Pour pouvoir participer à l'attribution du marché, les soumissionnaires doivent prouver qu'ils remplissent les critères de sélection. Cette preuve doit être fournie par les soumissionnaires sous la forme des informations et des documents décrits dans les formulaires de soumission et sous toute autre forme additionnelle que les soumissionnaires souhaiteraient utiliser.
Sauf disposition contraire, lorsque l'offre est soumise par un consortium, ces critères de sélection seront appliqués au consortium dans son ensemble.
Les critères de sélection applicables à chaque soumissionnaire sont les suivants.
I. Capacité économique et financière du candidat:
a) le chiffre d'affaires annuel moyen du candidat au cours des 3 dernières années doit être égal au moins à 30 000 000 EUR:
* dans le cas d'un groupement d'entreprises/d'un consortium:
— au moins un des membres doit avoir un chiffre d'affaires moyen annuel au cours des 3 dernières années équivalent au moins à 20 000 000 EUR,
— la somme des chiffres d'affaires moyens annuels de tous les membres au cours des 3 dernières années doit être au moins de 30 000 000 EUR;
b) le candidat doit avoir accès à un crédit et à d'autres facilités financières suffisantes pour couvrir le flux de trésorerie, «cash-flow», requis pour la durée du marché. Dans tous les cas, le montant du crédit disponible doit être au moins égal à 10 000 000 EUR;
dans le cas d'un groupement d'entreprises/d'un consortium, au moins un des membres doit avoir accès à un crédit au moins égal à 10 000 000 EUR.
II. Capacité technique et professionnelle du candidat:
II.1 capacité technique:
a) il doit avoir achevé et mené à bien au moins 3 projets de centrales photovoltaïques au sol avec une puissance totale cumulée minimale de 10 MWc, dont une au moins d'une puissance égale ou supérieure à 5 MWc. Ces travaux devront être réalisés au cours des 5 dernières années et devront être de même nature et de complexité comparable aux travaux couverts par le présent avis de marché.
i. Ce critère a pour objectif d'évaluer la capacité réelle de réalisation sur le terrain de la centrale photovoltaïque.
ii. Afin d'évaluer la pertinence de la référence présentée, le candidat indiquera:
[1] le montant total du projet (valeur totale du marché: ligne 5 du formulaire 3.1);
[2] le montant total du contrat du candidat (ligne 5 du formulaire 3.1);
[3] le candidat doit fournir les copies des certificats de réception finale (ou provisoire) signés par les maîtres d'œuvre/maîtres d'ouvrage pour les projets en question.
iii. La fourniture nette de modules photovoltaïques par un fournisseur sans la réalisation de la centrale n'est pas une référence qui sera comptabilisée au sens du point a).
iv. Les projets en toitures ne seront pas pris en compte.
v. La somme de plusieurs projets inférieurs au seuil minimal ne peut être présentée comme une référence unique pour justifier le critère de réalisation d'une centrale de 5 MWc, quelle que soit la standardisation de ces projets.
vi. Si plusieurs membres d'un même consortium ont participé à un même projet, la référence ne sera comptabilisée qu'une seule fois.
À la ligne 3 du formulaire 3.1, le candidat devra indiquer les éléments techniques des travaux exécutés, notamment pour chaque centrale photovoltaïque réalisée:
— la puissance totale de chacune,
— le type (nom commercial), la technologie et la puissance unitaire des modules utilisés,
— le type d'onduleurs utilisés,
— types de structures et ancrages.
b) Il doit avoir été chargé de l'exploitation et de la maintenance d'au moins 2 centrales photovoltaïques au sol de plus de 1 MWc chacune au cours des 5 dernières années (ces références seront indiquées dans le tableau du formulaire no3).
c) Si la proposition ne contient qu'un seul fabricant des modules photovoltaïques celui-ci doit avoir une capacité de production des modules photovoltaïques d'au moins 50 MWc par an. Au cas où le soumissionnaire déclare plusieurs fabricants, chaque fabricant doit avoir une capacité de production des modules photovoltaïques d'au moins 20 MWc par an et tous les fabricants dans leur ensemble devront avoir une capacité de production des modules photovoltaïques d'au moins 50 MWc par an. Il est rappelé que seuls les modules photovoltaïques au silicium cristallin seront acceptés pour ce marché. Les modules photovoltaïques devront tous être certifiés selon une norme garantissant leur qualité (type norme IEC 61215 pour les modules au silicium cristallin). Voir point 27 pour les déclarations à soumettre.
d) Il doit avoir achevé et mené à bien au moins 1 projet dans le domaine électrique (en général) en Afrique au cours des 5 dernières années (ces références seront indiquées dans le tableau du formulaire no3).
La mention «au cours des dernières années» signifie que le projet auquel le soumissionnaire se réfère pourrait avoir commencé/avoir été exécuté/avoir été achevé à n'importe quel moment durant la période indiquée, mais ne doit pas nécessairement avoir commencé et avoir été achevé durant cette période, ni avoir été exécuté sur l'ensemble de ladite période.
Le délai des 5 ans est entendu entre la date officielle de remise des candidatures et 5 ans avant cette date.
II.2 Capacité professionnelle:
a) au moins 10 personnes faisant partie du personnel permanent du candidat travaillent actuellement (2014) dans des domaines en rapport avec le présent avis de marché (génie civil, raccordement électrique et énergie solaire) dont au moins 5 personnes pour l'énergie solaire proprement dite.
Dans le remplissage du formulaire no4, les candidats devront préciser le personnel permanent pour chaque domaine d'activité demandé ci-dessus.
Les offres émanant de sociétés en partenariat constituant une entreprise conjointe/un consortium doivent également remplir les conditions suivantes:
— l'offre doit comprendre l'ensemble des informations requises dans le formulaire de candidature pour chaque membre de l'entreprise conjointe/du consortium, de même que les données de base pour l'exécution des travaux par le soumissionnaire,
— l'offre doit être signée de manière à lier juridiquement tous les membres de l'entreprise conjointe/du consortium. L'un des membres doit être désigné comme chef de file et cette désignation doit être confirmée par la présentation des procurations signées par les personnes autorisées représentant chacun des membres,
— tous les membres de l'entreprise conjointe/du consortium sont tenus de rester au sein de celle-ci/celui-ci pendant toute la période d'exécution du marché. Voir la déclaration figurant dans le formulaire de soumission.
Si plus de 6 candidats éligibles satisfont aux critères de sélection ci-dessus, il sera procédé à une sélection sur la base des critères suivants:
I. la somme des puissances des projets achevés de centrales photovoltaïques au sol avec une puissance égale ou supérieure à 5 MWc;
II. la somme des puissances des projets achevés de production électrique en Afrique ayant une puissance égale ou supérieure à 5 MW.
Les 2 critères seront pondérés selon la formule: 0.8* (critère I) + 0.2* (critère II).

Il convient de noter que l'attribution du marché est subordonnée à la signature des conventions de prêt entre le gouvernement burkinabé et, respectivement, l'AFD et la BEI.
Cette condition n'a pas d'incidence sur les éléments de la procédure d'appel d'offres (tel est le cas, par exemple, si l'enveloppe budgétaire initialement prévue est différente ou si le calendrier, la nature ou l'état de la mise en œuvre sont modifiés).
Si cette condition n'est pas remplie, le pouvoir adjudicateur peut soit renoncer au marché, soit annuler la procédure de passation de marché, sans que les candidats ou les soumissionnaires puissent prétendre à une quelconque indemnisation.
